Terms of Use

These Terms of Use ("Terms") govern your use of the Seedless app, the website at seedlesslabs.xyz, and related services (together, the "Service"), provided by Seedless Labs, Inc., a Delaware corporation, together with its affiliated operating entity Seedless Labs Limited, a company registered in Nigeria (together, "Seedless", "we", "us" or "our"). By using the Service, you agree to these Terms.

1. What Seedless is

Seedless is a money app for people who get paid in dollars. It lets you hold dollar stablecoins such as USDC, hold tokenized stocks, earn on your balance, swap, send money to anyone, and pay Nigerian bank accounts. It runs on the Solana network.

Seedless is non-custodial. We never hold, control or have access to your funds, your keys or your passkey. You sign every transaction yourself with your face or fingerprint. You are responsible for the security of the device and the Apple or Google account where your passkey is stored.

2. Bank payouts

Payments to Nigerian bank accounts are carried out by a licensed payments partner, not by Seedless. To use them you may need to link an email address or phone number and complete identity verification with that partner. The partner's rates, limits and checks apply. The rate, the fee and the account name are shown before you confirm. Once a payout has been sent to the partner, we cannot reverse it. Bank payouts are available in Nigeria only for now.

3. Fees

Paying a Nigerian bank and swapping between holdings each cost 0.5%. Holding, receiving and sending are free, and we cover network fees. The fee is always shown before you confirm. We may change fees; the current fees are always listed at seedlesslabs.xyz/fees.

4. Stocks, earn and other assets

Tokenized stocks are issued and backed by third-party issuers, not by Seedless. Holding one is not the same as owning the underlying share through a broker. Earn places your USDC with a third-party lending protocol at a variable rate. Any asset can lose value, become hard to sell, or be affected by the issuer or protocol behind it.

5. Sending with a link

When you send money with a link, anyone who has the link can collect the money. Share it only with the person it is for, the way you would hand over cash. Until it is collected, you can take the money back from the phone you sent it from. If that phone is lost before the money is collected or taken back, we cannot recover it for you.

6. A new and evolving service

The Service is new and under active development. It is provided "as is" and "as available". Features may change or be removed. Do not keep more in Seedless than you are comfortable holding in a new app.

7. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. You are responsible for making sure your use of the Service is lawful where you live.

9. Third-party services

The Service relies on third parties we do not control, including the Solana network, RPC providers, our licensed payments partner, passkey infrastructure (LazorKit), privacy infrastructure (Umbra), network-fee sponsorship (Kora), swap routing (Jupiter), lending protocols, and token issuers. We are not responsible for their availability or actions. Their own terms apply to your use of them.

10. No financial advice

Nothing in the Service is financial, investment, legal or tax advice. You are responsible for your own decisions about any asset or transaction.

11. Intellectual property

The Service, including its software, design, branding and content, belongs to Seedless or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. All other rights are reserved.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability or accuracy. We do not promise that the Service will be uninterrupted, error-free or secure against all unauthorised access.

13. Limitation of liability

To the fullest extent permitted by law, Seedless, its affiliates and contributors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for direct damages will not exceed one hundred United States dollars (US $100).

14. Indemnification

You agree to indemnify and hold Seedless harmless from any claim, loss or expense, including reasonable legal fees, arising from your use of the Service, your breach of these Terms, or your breach of any law or third-party right.

15. Termination

We may suspend or end your access to the Service at any time, for any reason. Because Seedless never holds your funds, ending your access to the app does not take your funds away. They stay associated with your passkey.

16. Changes to these Terms

We may update these Terms. When we do, we change the "Last updated" date above. Continuing to use the Service after an update means you accept it.

17. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the state and federal courts in Delaware. Nothing in these Terms limits mandatory consumer-protection rights you have where you live.
